End-User Licence Agreement (EULA)

PLEASE READ CAREFULLY BEFORE DOWNLOADING OR USING THE APP

This End-User Licence Agreement (“EULA”) is a legal agreement between you (“End-user” or “you”) and Roam Local Limited, registered in England and Wales (company number 09948760), with its registered office at Pear Tree House, Bolam, Darlington, United Kingdom, DL2 2UP (“Roam”, “Licensor”, “us” or “we”), for the Roam mobile application software, including any data supplied with the software and associated media (“App”).

We license use of the App to you on the basis of this EULA and subject to any rules or policies applied by the App Store or Google Play (“Appstore Rules”) from which you downloaded the App. We do not sell the App or any documents to you. We remain the owners of the App at all times.

1. Acknowledgements

1.1 The terms of this EULA apply to the App and any services accessible through the App (“Services”), including any updates or supplements, unless separate terms apply.

1.2 We may update these terms at any time by notifying you via the App or email. You may be required to accept updated terms to continue using the App.

1.3 Updates to the App may be issued through the Appstore. You may not be able to use the Services until you have downloaded the latest version and accepted any new terms.

1.4 You must have permission from the owner of any device you use to download or use the App. You are responsible for use of the App on any device, whether or not you own it.

1.5 Our Privacy Policy is incorporated into this EULA by reference. By using the App, you acknowledge that internet transmissions are never completely secure. Any message or information you send may be read or intercepted by others, even if encrypted.

1.6 The Services are also subject to our Terms of Use and any additional policies referenced therein.

1.7 By using the App, you consent to us collecting and using technical information about your device and related software, hardware, and peripherals to improve our products and provide Services.

1.8 The App may use location data from your device. You can turn off location services at any time in your device settings. By using location-based Services, you consent to the collection and use of your location data as described in the Privacy Policy.

1.9 The App may contain links to third-party websites. We are not responsible for and do not endorse their content or privacy practices.

1.10 By signing up to the App, you agree to receive push notifications from venues you follow and to receive updates to the App.

1.11 When you “follow” a venue, you consent to us sharing your profile name with that business via the Roam Management System, in accordance with our Privacy Policy and UK GDPR.

2. Grant and Scope of Licence

2.1 In consideration of your agreement to abide by this EULA, we grant you a non-transferable, non-exclusive licence to use the App on your devices, subject to this EULA, the Privacy Policy, and Appstore Rules. All other rights are reserved.

2.2 You may:

  • Download and use the App on your personal devices for your own personal, non-commercial purposes; and
  • Use any documents provided with the App for personal purposes only.

3. Licence Restrictions

You agree:

  • Not to copy the App or documents except where necessary for normal use or backup;
  • Not to rent, lease, sub-license, loan, translate, merge, adapt, vary, or modify the App or documents;
  • Not to alter or modify the App, or combine it with other programs, without our consent;
  • Not to disassemble, decompile, reverse-engineer, or create derivative works except where permitted by law, and only to achieve interoperability;
  • To keep all copies secure and maintain up-to-date records of copies;
  • Not to provide the App (in whole or part, including source code) to any third party without our consent;
  • To comply with all applicable technology control or export laws.

4. Acceptable Use Restrictions

You must not:

  • Use the App or Services unlawfully or for unlawful purposes;
  • Infringe our intellectual property rights or those of any third party;
  • Transmit defamatory, offensive, or objectionable material;
  • Damage, disable, overburden, impair, or compromise our systems or security, or interfere with other users;
  • Collect or harvest any data from the App or our systems, or attempt to decipher transmissions to or from our servers.

5. Intellectual Property Rights

5.1 All intellectual property rights in the App and documents belong to us or our licensors. The App is licensed, not sold, to you.

5.2 You have no right to access the App in source-code form.

6. Limitation of Liability

6.1 The App is not developed to meet your individual requirements. You are responsible for ensuring the App meets your needs.

6.2 We supply the App for personal, non-commercial use only, unless otherwise agreed in writing. We are not liable for any business losses.

6.3 Our maximum aggregate liability under or in connection with this EULA (including your use of any Services), whether in contract, tort (including negligence), or otherwise, shall be limited to £100. This does not apply to the types of loss set out in 6.4.

6.4 Nothing limits or excludes our liability for:

  • Death or personal injury resulting from our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any other liability that cannot be excluded or limited by English law.

7. Termination

7.1 We may terminate this EULA immediately by written notice if you breach this EULA and fail to remedy within 14 days of notice, or if you breach any Licence or Acceptable Use Restrictions.

7.2 On termination:

  • All rights granted to you under this EULA cease;
  • You must immediately stop using the App and Services;
  • You must delete or remove the App from all devices and destroy all copies;
  • We may remotely remove the App from your devices and cease providing Services.

9. Events Outside Our Control

9.1 We are not liable for failure or delay in performance caused by events outside our reasonable control, including network failures.

9.2 Our obligations are suspended during such events and we will use reasonable endeavours to resume performance.

9.3 Roam is a directory service. Any purchases made via our platform are between you and the venue. We are not a party to such transactions.

10. Other Important Terms

10.1 We may transfer our rights and obligations under this EULA to another organisation. You may only transfer your rights if we agree in writing.

10.2 If we fail to enforce any of our rights, it does not mean we waive them.

10.3 Each term of this EULA operates separately. If any part is unlawful, the rest remain in effect.

10.4 This EULA, its subject matter, and its formation are governed by English law. The courts of England and Wales have exclusive jurisdiction.

10.5 We will process your data in accordance with our Privacy Policy and in compliance with the UK GDPR and the Data Protection Act 2018.

This agreement is effective from the date you download or use the App.
